GovPreneurs Community Confidentiality Agreement

By joining and participating in the GOV Preneurs Community, you agree to the following confidentiality terms and conditions:

1. Purpose

The purpose of this agreement is to ensure that all information shared within the GOV Preneurs Community remains confidential and is not disclosed outside of the community.

2. Definition of Confidential Information

Confidential Information includes, but is not limited to:

– Business strategies
– Financial data
– Marketing plans
– Client lists
– Proprietary processes
– Community members’ questions, documentation, mentors’ feedback, and pro tips (deemed community information)
– Any other information shared within the community and not publicly available

3. Member Obligations

As a member, you agree to:

– Hold and maintain all Confidential Information in the strictest confidence.
– Use the Confidential Information solely for the purpose of participating in the GovPreneurs Community.
– Restrict access to Confidential Information to other members of the GovPreneurs Community who need to know such information for community-related purposes.
– Not disclose, publish, or otherwise reveal any Confidential Information to any other party without the prior written consent of GovPreneurs Community.

4. Exclusions from Confidential Information

Confidential Information does not include information that:

– Is or becomes publicly known through no breach of this agreement by any member.
– Is rightfully received from a third party without similar restriction and without breach of this agreement.
– Is independently developed without the use of or reference to the community’s Confidential Information.

5. Duration

The nondisclosure obligations under this agreement shall survive the termination of your membership in the GovPreneurs Community and continue indefinitely until the Confidential Information no longer qualifies as confidential.

6. Legal Compliance

This agreement shall be governed by and construed in accordance with the laws of the state of North Carolina, without regard to its conflict of law principles.

7. Remedies

Any breach of this agreement may cause irreparable harm to GovPreneurs Community, for which damages would be an inadequate remedy. GovPreneurs Community shall be entitled to seek injunctive relief in addition to any other remedies available at law or in equity.

8. Agreement

By participating in the GOV Preneurs Community, you acknowledge that you have read, understood, and agree to comply with this Confidentiality Agreement.
